Terms of Service

These Terms of Service ("Terms") govern your use of PriceWatch cryptocurrency trading software and related services provided by TNG PriceWatch Limited, a company registered in the Republic of Ireland.
1. Acceptance of Terms
By accessing, downloading, or using PriceWatch software and services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
You must be at least 18 years old to use PriceWatch. By using our services, you represent that you meet this age requirement.
2. Service Description
PriceWatch provides cryptocurrency trading software that:
- Monitors cryptocurrency markets and price movements
- Executes automated trading strategies based on technical indicators
- Runs locally on your computer; optional cloud AI features send disclosed context directly to the provider you choose
- Connects to cryptocurrency exchanges via your API credentials
Important: PriceWatch is a software tool. TNG PriceWatch Limited does not provide personalized investment, financial, legal, tax, or trading advice. Any BUY or SKIP verdict or exit suggestion is automated output from the third-party model you select, not a recommendation endorsed by TNG PriceWatch Limited.
2.5. Corporate Structure
TNG PriceWatch Limited wholly owns the PriceWatch software and the pricewatch.eu.com website, and provides subscription services, customer support, and manages customer accounts for PriceWatch software.
Your software usage is governed by a separate Software License Agreement provided by TNG PriceWatch Limited during software installation.
All intellectual property in the PriceWatch software and website is wholly owned by TNG PriceWatch Limited.
3. User Obligations and Responsibilities
Account Security
- Maintain the confidentiality of your account credentials
- Use strong, unique passwords
- Notify us immediately of any unauthorized access
- You are responsible for all activities under your account
Lawful Use
- Comply with all applicable laws and regulations
- Ensure cryptocurrency trading is legal in your jurisdiction
- Meet any licensing or registration requirements
- Pay all applicable taxes on your trading activities
Prohibited Activities
- Reverse engineering, decompiling, or modifying the software
- Sharing your account or software with unauthorized users
- Using the software for illegal activities
- Attempting to circumvent security measures
- Market manipulation or fraudulent trading practices
4. Trading Risks

Cryptocurrency trading involves substantial risk of loss. You may lose some or all of your invested capital. Only trade with money you can afford to lose.
Market Risks
- Cryptocurrency markets are highly volatile and unpredictable
- Past performance does not guarantee future results
- Market conditions can change rapidly
- Technical analysis may not always be accurate
Technical Risks
- Software bugs or errors may occur
- Internet connectivity issues may affect trading
- Exchange API failures or downtime
- Computer hardware or software failures
4.1. AI Assistant Terms and Risks
The AI Assistant is optional. AI-generated strategies, expressions, explanations, confidence values, BUY or SKIP verdicts, and generated Buy or Sell rules may be inaccurate, incomplete, delayed, misleading, or unsuitable. Automated validation can reject some invalid expressions, but it does not establish that a strategy is financially sound, semantically correct, profitable, or appropriate for you.
AI output is not investment, financial, legal, tax, or trading advice. You are responsible for reviewing generated expressions and notes, selecting the model and provider, configuring trading and risk settings, and accepting all resulting trades, missed trades, losses, costs, and other outcomes.
PriceWatch's ordinary Buy criteria must first qualify a trade before the AI Trade Gate is consulted. The AI cannot independently initiate a criteria-based buy, and a direct startup purchase is not reviewed. Advisory records a verdict without changing execution; Veto may block a qualifying buy after a SKIP verdict. A take-profit embedded in a selected AI Sell rule may be included in Trade Gate prompts and records without overwriting Desired Profit.
In Veto mode, the default provider-error setting is Allow. If the provider is unavailable, times out, or returns an unusable response, the trade proceeds as it would without AI review. Select Skip if you require a successful AI response before a qualifying trade may proceed, and check this setting before LIVE use.
Before using an AI-generated strategy or trade-gate setting in LIVE mode, review every expression and note, test it in TEST mode across varied market conditions, and begin with advisory mode. TEST-mode and historical results do not guarantee LIVE execution or future performance.
You supply and pay for any third-party AI account or API usage. Provider terms, pricing, retention, security, and geographic processing arrangements apply. PriceWatch does not include third-party AI usage charges in its software price or subscription.
5. Access Tiers and Service Levels
PriceWatch offers three distinct access tiers, each with specific rights, features, and conditions:
5.1 Full Access (Software + Subscription)
Description: Complete trading experience with both TEST and LIVE trading modes.

- Lifetime software license (one-time purchase)
- Active subscription for LIVE trading mode
- TEST Mode for paper trading with real market data
- LIVE Mode for executing real trades with your exchange
- Market Cap Groups functionality
- All technical indicators
- Priority email support
Subscription Terms:
- Subscription required for LIVE mode access
- Various subscription periods available (1, 3, 6, 12 months)
- Automatic renewal if selected
- Access continues until end of paid period after cancellation
Expiry Behavior:
- When subscription expires, you retain lifetime TEST mode access
- LIVE mode access is suspended until subscription renewal
- Your lifetime TEST mode software license remains in effect under the applicable license terms
- All settings, configurations, and data are preserved
- Renew subscription at any time to restore LIVE mode
5.2 TEST Mode Only (One-Time Purchase)
Description: Lifetime TEST mode access with a single one-time software purchase.
What's Included:
- Lifetime software license (one-time purchase)
- TEST Mode for paper trading with real market data
- Market Cap Groups functionality
- All technical indicators
- Email support
Limitations:
- No LIVE trading mode (no real trade execution)
- Cannot execute trades on your exchange
No Subscription Required:
- One-time purchase only
- No recurring fees or subscription obligations
- Lifetime access with no expiry
Upgrade Path: May upgrade to Full Access at any time by purchasing a subscription. After subscription activation, LIVE mode is normally reflected within approximately 20 minutes.
5.3 Free Trial
Description: 7-day complimentary trial to evaluate PriceWatch software.
What's Included:
- TEST Mode for paper trading with real market data
- All technical indicators
- 7 days of free access
- No payment or credit card required
Limitations:
- No LIVE trading mode (no real trade execution)
- No Market Cap Groups functionality
- Limited to 7 calendar days from activation
Trial Conditions:
- One free trial per user/email address
- Trial begins immediately upon account creation
- No payment information required to start trial
- Trial is non-transferable
Trial Expiry:
- Trial automatically expires after 7 days
- Upon expiry, all access to PriceWatch is revoked
- Account data may be deleted 30 days after trial expiry
- To continue using PriceWatch, you must purchase software (TEST Mode Only or Full Access)
No Trial Extensions: Free trial is offered once only. No extensions or additional trial periods are available. Abuse of trial system (multiple accounts, etc.) may result in permanent ban.
6. Tier Feature Availability
The following matrix summarizes the established features available for each access tier. AI Assistant entitlement has not yet been assigned to Full Access, TEST Mode Only, or Free Trial; its current visibility to logged-in users is not a promise of future tier availability.

7. Subscription and Payment Terms
Subscription Plans (Full Access Tier Only)
- Subscription required only for Full Access tier (LIVE mode)
- Various subscription periods available (1, 3, 6, 12 months)
- Automatic renewal unless cancelled
- Access continues until end of paid period after cancellation
Software Purchase (Full Access and TEST Mode Only Tiers)
- One-time lifetime license purchase
- Grants lifetime licensed use under the applicable license terms
- Required for both Full Access and TEST Mode Only tiers
- Not required for Free Trial
Payment Processing
- Payments processed via Stripe or cryptocurrency
- All prices include applicable taxes
- Payment failures may result in service suspension
Refund Policy
- Except where Irish or EU consumer law gives you a mandatory right to cancel, a remedy, or a refund, purchases are non-refundable
- Your statutory rights are not affected
- Any loss or waiver of a statutory withdrawal right for immediately supplied digital content applies only where legally valid and expressly acknowledged during purchase
- Free Trial is available for evaluation before purchase
- We recommend using the Free Trial to test PriceWatch before purchasing

Price Changes
We may change subscription prices with 3 months' notice. Existing subscriptions continue at current rates until renewal. Software pricing may change without notice; quoted prices at time of purchase are honored.
8. Software License and Updates
License Grant
Your right to use PriceWatch software is governed by the comprehensive Software License Agreement provided by TNG PriceWatch Limited during software installation. TNG PriceWatch Limited is the sole owner of the software and provider of subscription services.
The complete software license terms, including usage rights, restrictions, and liability limitations, are contained in the Software License Agreement from TNG PriceWatch Limited.
License by Access Tier
- Full Access: Lifetime software license with subscription-based LIVE mode
- TEST Mode Only: Lifetime software license for TEST mode access
- Free Trial: Temporary, revocable license for 7-day evaluation only (no ownership rights)
Updates and Maintenance
- Major updates delivered via email notification
- Minor updates available through automatic login updates
- Updates are generally optional but recommended
- We may discontinue support for older versions
- All tiers receive the same software updates during their active period
Restrictions
- No reverse engineering or decompilation
- No redistribution or resale
- Single-user license only
- No creation of derivative works
9. Service Availability and Support
Uptime and Availability
- We maintain multiple backup servers for reliability
- Planned maintenance will be announced in advance
- No guarantee of 100% uptime due to technical limitations
Customer Support
- Email support available 24/7
- Response time: typically within 24 hours
- Discord community for user discussions (optional)
- Priority support for Full Access tier subscribers
10. Termination and Access Changes
Subscription Cancellation (Full Access Tier)
- Cancel subscription anytime through your account
- LIVE mode access continues until end of billing period
- Upon subscription expiry, you retain lifetime TEST mode access
- Your lifetime TEST mode software license remains in effect
- May renew subscription at any time to restore LIVE mode
Account Deletion (All Tiers)
- Request account deletion through your account settings or via email
- Account data deleted within 30 days of request
- Software license remains valid (Full Access and TEST Mode Only)
Free Trial Expiry
- Trial automatically expires after 7 days
- Access revoked upon expiry
- Account data retained for 30 days to allow easy upgrade
- After 30 days, account data may be permanently deleted
Tier Downgrades and Changes
- Full Access: Upon subscription expiry, automatic downgrade to lifetime TEST mode
- TEST Mode Only: No downgrade possible - lifetime access maintained
- Free Trial to Paid: Purchase required before or after trial expiry to continue
Termination By Us
We may terminate your access for:
- Violation of these Terms
- Non-payment of fees (for subscription tiers)
- Illegal or fraudulent activity
- Abuse of our services or support
- Abuse of Free Trial system (multiple accounts, etc.)
Effect of Termination
- Upon termination for cause, all access is immediately revoked
- No refund is normally provided for termination due to a Terms violation, except where mandatory law requires otherwise
- Software license may be revoked in cases of serious violations
11. Dispute Resolution
Informal Resolution
Before formal proceedings, contact us at legal@pricewatch.eu.com to resolve disputes amicably.
Formal Disputes
- First attempt: Mediation through Irish Commercial Mediation Centre
- If informal resolution fails, either party may use the remedies available under applicable law
- Nothing in these Terms removes a consumer's right to bring a claim before a competent court where mandatory law permits
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Ireland. If you are a consumer, you also retain any mandatory protections and jurisdiction rights provided by the law of your country of residence. Subject to those rights, the Irish courts have jurisdiction.
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

PriceWatch is a SOFTWARE TOOL ONLY. We DO NOT provide investment advice, financial planning, trading recommendations, or any form of financial guidance. Any information provided is for educational purposes only and should not be construed as investment advice.
You are solely responsible for: All investment decisions, due diligence, risk assessment, and compliance with applicable laws and regulations.
EXTREME RISK WARNING
CRYPTOCURRENCY TRADING IS EXTREMELY HIGH RISK. You may lose your entire investment.
AUTOMATED TRADING AMPLIFIES RISK. Software cannot predict market movements or guarantee profits.
NO GUARANTEE OF FUNCTIONALITY. Software may malfunction at any time without warning.
MARKET CONDITIONS CHANGE. Past performance does not indicate future results.
REGULATORY COMPLIANCE
You are responsible for ensuring that your use of PriceWatch complies with all applicable laws, regulations, and licensing requirements in your jurisdiction, including but not limited to:
- Securities regulations and licensing requirements
- Financial services regulations
- Anti-money laundering (AML) and Know Your Customer (KYC) requirements
- Tax reporting and payment obligations
- Data protection and privacy laws
PriceWatch makes no representations about the legality of cryptocurrency trading in your jurisdiction.
DISCLAIMER OF ALL WARRANTIES
PriceWatch software and services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT of third-party rights
- ACCURACY, RELIABILITY, or COMPLETENESS of data or functionality
- UNINTERRUPTED or ERROR-FREE operation
- SECURITY against unauthorized access or data breaches
- COMPATIBILITY with your hardware, software, or network
14. LIMITATION OF LIABILITY
Mandatory rights come first. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or mandatory Irish or EU consumer remedies.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF PRICEWATCH SOFTWARE AND SERVICES IS ENTIRELY AT YOUR OWN RISK.
TNG PriceWatch Limited, its officers, directors, employees, agents, affiliates, and subsidiaries ("PriceWatch Parties") limit their liability to the maximum extent permitted by applicable law. The exclusions below apply only where they are lawful and do not override the mandatory-rights carve-out above.
TRADING AND FINANCIAL LIABILITY EXCLUSION
To the maximum extent permitted by law, the PriceWatch Parties are not responsible for losses arising from:
- Trading Losses: Any losses from cryptocurrency trading, including but not limited to capital losses, unrealized losses, missed profits, or opportunity costs
- Market Volatility: Losses due to market crashes, flash crashes, extreme volatility, or market manipulation by third parties
- Investment Decisions: Poor investment choices, timing errors, or strategy failures
- Liquidations: Forced liquidations, margin calls, or position closures
- Exchange Issues: Exchange hacks, closures, insolvency, or regulatory actions
- API Failures: Exchange API errors, rate limiting, or connectivity issues
- Slippage: Price slippage, execution delays, or unfavorable fill prices
TECHNICAL LIABILITY EXCLUSION
To the maximum extent permitted by law, the PriceWatch Parties are not responsible for losses arising from:
- Software Defects: Bugs, errors, glitches, crashes, or malfunctions in any software
- Data Issues: Data corruption, loss, inaccuracy, or transmission errors
- Infrastructure: Server downtime, network failures, or hosting provider issues
- Security Breaches: Unauthorized access, hacking attempts, or data breaches
- Integration Failures: Third-party service integration problems or API changes
- Hardware Failures: Your computer, network, or device malfunctions
- Force Majeure: Natural disasters, pandemics, war, terrorism, or government actions
EXCLUDED CATEGORIES OF LOSS
To the maximum extent permitted by law, the PriceWatch Parties are not liable for indirect, consequential, incidental, special, or punitive loss, including:
- Lost Profits: Loss of anticipated profits or revenue
- Lost Data: Loss or corruption of locally stored data, records, or trading history caused by user systems or third-party services
- Business Interruption: Interruption of business, loss of goodwill, or reputation damage
- Third-Party Claims: Claims arising from an exchange, broker, AI provider, or other service selected by the user
MAXIMUM LIABILITY CAP
Subject to the mandatory-rights carve-out above, where a contractual liability cap is permitted, the PriceWatch Parties' total aggregate liability shall not exceed the greater of:
- €100 (One Hundred Euros), or
- The amount you paid to PriceWatch in the 12 months preceding the claim
This cap does not apply where applicable law prohibits it.
YOUR ACKNOWLEDGMENT
By using PriceWatch, you explicitly acknowledge that:
- You have read and understood this comprehensive liability disclaimer
- You accept full responsibility for all trading decisions and outcomes
- You understand that your statutory and mandatory legal rights remain unaffected
- You understand the high-risk nature of cryptocurrency trading
- You remain responsible for deciding whether the software and any third-party AI provider are suitable for your intended use
Severability: If any court finds any part of this liability limitation unenforceable, that finding shall not affect the enforceability of the remaining provisions, which shall be given the maximum effect permitted by law.
15. Changes to Terms
We may update these Terms to reflect changes in our services or legal requirements. We will notify you of material changes via:
- Email notification (at least 30 days in advance)
- Website notice
Continued use of our services after changes take effect constitutes acceptance of the new Terms.
